Draft for review. These terms are a working template and have not yet been reviewed by a solicitor. Have them checked before launch, including the governing-law, liability and company-details sections.
1. The agreement
These terms govern your use of the HaloTrack website and dashboard service ("the Service") operated by HaloTrack ("we", "us"). By applying for the waitlist or using the Service you agree to these terms. If you use the Service on behalf of a business, you confirm you're authorised to bind that business.
2. Early access
- The Service is currently in invite-only early access and provided free of charge.
- Early access software changes: features may be added, modified or removed without notice.
- We may introduce paid tiers in future. We'll give existing users reasonable notice, and you'll never be charged without explicitly signing up to a paid plan.
- Waitlist applications don't guarantee access; invites are issued at our discretion and in batches.
3. What the Service is — and isn't
- HaloTrack is a measurement and analytics tool. It collects data you authorise via Amazon's APIs, stores it, and presents analysis including trends, alerts and verdicts.
- The Service is read-only: it does not and cannot modify your Amazon campaigns, bids, budgets, listings or account.
- Verdicts, scores and amounts shown by the Service are analytical estimates, not financial advice. Decisions about your advertising — including acting on a CUT, KEEP or WATCH verdict — are yours alone, and you should apply your own judgement before making them.
- HaloTrack is not affiliated with, endorsed by, or sponsored by Amazon. "Amazon" and related marks are trademarks of Amazon.com, Inc. or its affiliates.
4. Your responsibilities
- Only connect Amazon accounts you're authorised to connect (your own, or a client's with their consent).
- Comply with Amazon's terms of service and API policies in your use of the Service.
- Keep your HaloTrack login credentials secure and don't share your account.
- Don't attempt to reverse-engineer the Service, scrape it, resell access to it, or use it to build a competing product.
- Invite links are personal; don't sell or publicly post them.
5. Your data
You retain all rights to your business data. You grant us a licence to collect, store and process it solely to provide and improve the Service, as described in our Privacy Policy. You can export your history and disconnect at any time.
6. Availability
We aim for high availability but the Service is provided "as is" and "as available", particularly during early access. We don't guarantee uninterrupted service, and we depend on Amazon's APIs, whose availability and data we don't control. Amazon may change or restrict its APIs in ways that affect the Service.
7. Intellectual property
The Service, its software, design and branding are our property or our licensors'. These terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business while these terms are in effect.
8. Liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that: the Service is an analytics tool provided free of charge during early access; to the maximum extent permitted by law we exclude liability for indirect or consequential loss, loss of profits, loss of revenue or loss of data arising from use of the Service, and our total aggregate liability is limited to £100 or, once paid plans exist, the amount you paid us in the 12 months before the claim.
For clarity: advertising decisions you make based on the Service's analysis are your own, and we are not liable for their outcomes.
9. Termination
- You can stop using the Service and disconnect your account at any time.
- We may suspend or terminate accounts that breach these terms, abuse the Service, or create security risk — with notice where practicable.
- We may discontinue the early access programme; if we do, we'll give you reasonable notice and the opportunity to export your data.
10. Changes to these terms
We may update these terms; material changes will be notified by email to account holders. Continued use after changes take effect constitutes acceptance.
11. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction — though we'd always rather resolve things by email first: hello@halotrack.ai.
